    A Bill to amend Chapters 1 through 25 of Title 33, Code of Laws of South Carolina, 1976, as amended, relating to the South Carolina Business Corporation Act, so as to provide for certain changes in the formation, operation and control of domestic and foreign business corporations that will make the act more closely conform to the provisions of the Model Business Corporation Act and Current Business Operations; to make technical corrections; to provide that the provisons of the act relating to business corporations shall also apply to other domestic or foreign corporations or associations if the law under which those corporations are organized does not conflict with such provisions; to amend the 1976 Code by adding Section 15-9-245 so as to provide a porcedure for the service of process on foreign corporations not authorized to do business in this state; to amend Sections 15-9-210, 15-9-240 and 15-9-430, relating to the service of process on domestic and foreign corporations authorized to do business in this state and on non-resident directors of domestic corporations, so as to further provide for the manner of serving such processes and to fix a fee therefor; to amend Section 33-29-10, relating to filing fees concerning the Business Corporation Act, so as to delete three fees otherwise provided for and to amend Section 34-25-40, relating to voting by shareholders of savings and loan or building and loan associations, so as to provide for voting by proxy.
